SEC Releases Long-Awaited Proposed Climate Disclosure Rules

On March 21, 2022, the SEC released its long-awaited climate disclosure proposal, which is modeled, in part, on the Task Force on Climate-related Financial Disclosures (TCFD) framework. Among other things, the proposed rules would require a company to disclose in its annual report on Form 10-K information regarding several key points, including climate-related risks, direct and indirect greenhouse gas (GHG) emissions and the financial impact of climate-related events and transition activities. Continue reading.

Preparing for New Mandatory Cyber Reporting Rules

Steven G. Stransky (Thompson Hine) and Lacy Rex (Oswald Companies) recently published on Law360 an article, “Preparing For New Mandatory Cyber Reporting Rules,” which discusses the Cybersecurity Incident Reporting for Critical Infrastructure Act of 2022 (CIRCIA) that was signed into law on March 15, 2022 and mandates that certain entities notify federal authorities within 72 hours of being subject to a cyber incident and within 24 hours after making certain types of ransomware payments.
