A senior managing associate in the Corporate Transactions & Securities practice, Alan focuses on a broad range of operational matters, including contract preparation and review and general corporate governance. Alan is also a member of the Contract Solutions team, drafting and negotiating a wide range of contracts, including master services and consulting agreements, referral agreements, nondisclosure agreements, and reseller and distribution agreements.

He advises clients with an in-house counsel’s perspective and understanding of business and legal issues, having previously served as associate corporate counsel for a global supplier of automated systems for warehouses, distribution centers and production facilities.

Alan is also a member of the firm’s franchise practice, representing franchisors and advising them on their compliance and registration needs, operational issues and strategies and best practices to limit disputes with regulators and franchisees, as well as any disputes that do inevitably arise.
