Associate

Agnes, an associate in the Employee Benefits & Executive Compensation group, advises clients on the tax, employee benefits, and executive compensation-related aspects of corporate transactions, reorganizations, financing arrangements, and securities offerings. She negotiates, reviews, and drafts transactional documents; performs due diligence; and advises on compliance with the Internal Revenue Code, ERISA, applicable labor laws, federal securities laws, and applicable exchange regulations.

Agnes also designs, negotiates, drafts, and reviews compensation plans; welfare plans; summary plan descriptions; qualified plan amendments; incentive plans; compensation agreements; equity plans, agreements, and schedules; and offer letters for executives. In addition, she advises health and welfare plans, incentive plans, and retirement plans on compliance with ERISA, Internal Revenue Code Section 409A, the ACA, and DOL regulations.

Agnes previously served as a judicial law clerk for Associate Justice Mary Thomas Sullivan of the Massachusetts Appeals Court and as a judicial intern for Judge David Barron of the U.S. Court of Appeals for the First Circuit.
